Streszczenie
Artykuł dotyczy funkcjonowania mechanizmu wewnętrznego naCelem opracowania była analiza teoretycznych podstaw ładu korporacyjnego (corporate governance) z punktu widzenia ich adekwatności wobec współczesnych realiów funkcjonowania korporacji. Analizie poddano główne założenia i twierdzenia teorii agencji, teorii służebności (stewardship theory), teorii hegemonii menedżerskiej oraz teorii uzależnienia zasobowego (resource – dependence theory). W wyniku przeprowadzonej analizy stwierdzono, że corporate governance nie dysponuje powszechnie akceptowaną teorią, która wyjaśniłaby w sposób dojrzały i koherentny mechanizmy funkcjonowania współczesnych korporacji.

Summary
The main aim of the study was the theoretical analysis of corporate governance concept in terms of contemporary challenges of companies. Author discussed the main assumptions of the agency theory, the stewardship theory, managerial hegemony theory and the resource-dependence theory. The analysis confirmed that corporate governance did not have an accepted theory which could explain, in a mature and coherent way, the mechanisms of modern corporations.

Artykuł dotyczy funkcjonowania mechanizmu wewnętrznego naCelem opracowania była analiza teoretycznych podstaw ładu korporacyjnego (corporate governance) z punktu widzenia ich adekwatności wobec współczesnych realiów funkcjonowania korporacji. Analizie poddano główne założenia i twierdzenia teorii agencji, teorii służebności (stewardship theory), teorii hegemonii menedżerskiej oraz teorii uzależnienia zasobowego (resource – dependence theory). W wyniku przeprowadzonej analizy stwierdzono, że corporate governance nie dysponuje powszechnie akceptowaną teorią, która wyjaśniłaby w sposób dojrzały i koherentny mechanizmy funkcjonowania współczesnych korporacji.
